TruBridge’s Associate General Counsel Principal will have extensive experience in corporate law and a strong understanding of the SEC operations and filings. This position will play a critical role in ensuring TruBridge remains compliant with all SEC regulations and requirements. The primary responsibilities will revolve around providing TruBridge’s General Counsel support for overseeing and managing all SEC public company-related matters. The Associate General Counsel Principal will be responsible for activities as assigned by the General Counsel, including but not limited to legal research as needed, supporting any mergers and acquisitions, corporate governance, internal investigations, vendor and customer agreements and transactions, federal, state and international regulation and employment matters. This role requires a resourceful self-starter comfortable in fast-paced and dynamic environments.

Essential Functions: In addition to the activities as prescribed above, specific responsibilities of this role may include:

  • Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy statements, in collaboration with key company stakeholders.
  • Develop, implement, and maintain policies and procedures to ensure SEC compliance.
  • Advise stakeholders regarding finance and capital markets transactions, including underwritten debt and equity offerings, private placements, loan agreements, and other treasury matters.
  • Provide legal counsel on day-to-day operations, including investor relations, finance, treasury, internal audit, real estate, and compliance efforts. Develop, implement, and maintain policies and procedures to ensure SEC compliance.
  • Stay informed on updates to securities-related regulatory developments and provide tailored advice regarding potential impacts and solutions.
  • Evolve, refine, and manage corporate governance policies and procedures in accordance with applicable legal requirements.
  • Maintain committee charters and other key corporate governance documents.
  • Assist with general corporate matters, including entity management, corporate governance, preparation of materials for the Board of Directors and its Committees.
  • Interface with and manage outside counsel on company matters.
  • Complete special projects as assigned by General Counsel.
  • Draft, review and negotiate customer contracts and third-party agreements.
  • Assist General Counsel in determining corporate strategic and strategic and tactical legal initiatives.
  • Serve as legal advisor on business transactions, including acquisitions, divestitures, and joint ventures.
  • Assist General Counsel in judging the merits of court cases filed against or on behalf of the company, work with General Counsel to define a strategic defense and assist in approval of settlements.

Minimum Requirements:

Education/Experience/Certification Requirements

  • Juris Doctor (JD) from an ABA accredited law school.
  • Active license to practice law in one of the 50 states or District of Columbia.
  • Minimum of five years of experience as a corporate attorney, with responsibility for compliance with SEC regulations.
  • Knowledge of Sarbanes-Oxley, related legislation, and related FASB revenue recognition guidelines.
  • Excellent written and verbal communication skills.
  • Ability to effectively manage multiple tasks and prioritize workload in a fast-paced environment.
  • Strong analytical, problem-solving, and decision-making skills.
  • Proven track record of providing sound legal advice and counsel to businesses in the technology industry.
  • Knowledge of healthcare computer software industry is preferred.
  • Experience in directing litigation strategy.
